Tongan Women's Helping Hands - Bylaws
Article I: Name and Purpose
Section 1: Name The name of this organization shall be "Tongan Women's Helping Hands, - Bay Area" hereinafter referred to as "the Organization."
Section 2: Mission Statement The mission of Tongan Women's Helping Hands is to empower, support, and uplift Tongan women and their communities through collaborative efforts, educational initiatives, and social programs. We strive to create a nurturing environment that promotes personal growth, cultural preservation, and positive change.
Article II: Purpose
Section 1: Objectives The purpose of the Organization shall be to:
Section 2: Non-Profit Status
The Organization shall operate as a non-profit entity, committed to the betterment of the community, without pecuniary gain or financial profit for its members. All funds raised or received by the Organization shall be used exclusively for the stated objectives and purposes.
Article III: Membership
Section 1: Eligibility Membership in Tongan Women's Helping Hands is open to all individuals who support the mission and purpose of the Organization, regardless of age, race, religion, or nationality.
Section 2: Rights and Responsibilities Members shall have the right to participate in events, seminars, service projects and fundraising. They shall also be responsible for upholding the organization's values, code of conduct, and ethical standards.
Article IV: Leadership and Governance
Section 1: Executive Committee The Organization shall have an Executive Committee composed of elected officers, including a CEO, President, Secretary, fundraiser, Treasurer, and Advisor. These officers shall be responsible for the organization's day-to-day operations, planning, and decision-making.
Section 2: Elections Elections for the Executive Committee shall be held once every 2 years sometime in January. All members in good standing are eligible to vote and run for office.
Article V: Meetings
Section 1: General Meetings General meetings shall be held weekly and shall provide a platform for members to discuss, plan, and engage in activities related to the Organization's objectives.
Article VI: Amendments
Section 1: Amendment Process These bylaws may be amended by a two-thirds majority vote of the members present at a general meeting. Proposed amendments shall be submitted in writing and distributed to members at least 5 days before the meeting.
Article VII: Dissolution
Section 1: Dissolution Process In the event of the dissolution of Tongan Women's Helping Hands, any remaining assets shall be distributed to charitable organizations that align with the mission and purpose of the Organization, as determined by the Executive Committee.
Article VIII: Ratification
These bylaws shall be ratified by a majority vote of the members present at a board meeting.
Effective Date: 08.15.2023
These bylaws have been approved and adopted by the members of Tongan Women's Helping Hands on the date indicated above.
